(Senior) Legal Counsel M&A | Fluxys

For Fluxys, I am looking for a (Senior) Legal Counsel M&A. Fluent in Dutch or French, with good knowledge of the other language and very good command of English.

Function

As a (Senior) Legal Counsel M&A within the Legal Department, you will have a challenging role with high exposure and will contribute to Fluxys' energy transition and growth strategy.

As part of the transaction team, you will manage all legal aspects of international acquisitions and business development projects to ensure the expansion and development of Fluxys' activities, particularly in the context of the energy transition project outside Belgium:

  • As a key contributor to the projects, you will manage legal support in a wide range of M&A and business development projects and advise on a broad range of matters in a highly international context
  • You will be responsible for legal matters at project level, including contract documentation (term sheets, transactions, etc.), legal workflows, appointment and management of external advisors, assessment of regulatory constraints, etc.
  • In coordination with the Business Development teams, you will lead the editorial team and participate in contract negotiations with partners, ensuring a high level of quality in Fluxys' interest and in line with Fluxys' objectives
  • You will actively participate in the full life cycle of projects, from development to implementation, namely setting up processes, due diligence, project structuring, risk assessment and mitigation, and contract implementation
  • You will participate in non-legal workflows to take into account commercial, financial and strategic considerations
  • You will also contribute to the preparation of relevant internal documents and presentations for the group’s corporate bodies, management and/or board(s)
  • You will maintain and structure legal know-how and process knowledge gathered during BD and M&A activities to improve the future organisation of processes and projects. You will follow best practices and ensure consistency with previous practices
  • You will monitor relevant legislation proactively, inform management and make proposals for implementation
  • You will build valuable relationships with internal and external stakeholders
  • Occasional business travel may be required

Profile

  • You hold a Master's degree in law
  • You have at least 5 years' of experience in corporate M&A and in-depth knowledge of corporate law
  • You thrive in a fast decision-making environment with negotiation challenges
  • You are very flexible and can think out the box
  • You are result-oriented, a problem solver and a multitasker
  • You are fluent in Dutch or French and have a good knowledge of the other language. You also have a very good command of English, making you efficient in an international context
