For EDFI Management Company, I am looking for a (Senior) Legal Counsel with approximately 5 to 10 years of experience in international finance transactions. Fluent in English and French.

Function

As a (Senior) Legal Counsel, you will play a key role in supporting EDFI MC's fundraising and investment activities. Working closely with investment professionals, you will provide legal advice on complex international transactions and contribute to the successful deployment of development finance initiatives across emerging and developing markets.

You will advise on a broad range of financing transactions, including debt, equity and hybrid investments, while helping EDFI MC navigate the legal, regulatory and ESG considerations associated with its activities. You will also contribute to the development of EDFI MC's new initiatives in the critical raw materials sector, a strategic area for both Europe and sustainable development.

Your responsibilities will include:

  • Providing strategic legal advice on transaction structuring, negotiations and contractual arrangements
  • Supporting investment teams throughout the entire lifecycle of investments, from structuring to implementation
  • Drafting, reviewing and negotiating financing and investment documentation
  • Identifying legal and commercial risks and proposing pragmatic, business-oriented solutions
  • Coordinating with external legal advisors across multiple jurisdictions where required
  • Advising on debt and equity restructurings, workout situations and insolvency-related matters
  • Supporting fundraising activities and contractual relationships with institutional stakeholders, including the European Commission
  • Assisting with compliance, governance and corporate legal matters
  • Contributing to the implementation and ongoing development of legal frameworks, policies and procedures

This position offers exposure to sophisticated cross-border transactions across Africa, Asia and Latin America, as well as regular interaction with development finance institutions, international stakeholders and European institutions.

Profile

  • You hold a Master's degree in Law
  • You have approximately 5 to 10 years of experience in project finance, infrastructure finance, mining finance, commodities, private equity, leveraged finance or similar transactional environments
  • You have experience with debt and equity transactions
  • You are comfortable negotiating complex transaction documentation in English
  • You have been exposed to cross-border transactions involving multiple jurisdictions
  • Experience with restructurings, insolvency proceedings or distressed situations is considered an asset
  • Experience in compliance and/or governance matters is a plus
  • An understanding of technical, operational and ESG risks related to the critical raw materials sector (e.g., permitting, environmental impacts, supply chain transparency) is considered an asset
  • You combine strong legal analysis with sound commercial judgement
  • You are capable of challenging counterparties and defending key positions when required
  • You are pragmatic, resilient and solution-oriented
  • You are well organised, able to manage priorities and committed to delivering high-quality work
  • You are proactive, flexible and enjoy working as part of a team
  • You thrive in multicultural environments and communicate effectively with a broad range of stakeholders
  • You have a genuine interest in emerging and developing markets
  • You are fluent in English and French, both written and spoken. Spanish or Portuguese would be an asset
